These Terms and Conditions ("Terms") govern access to and use of the website located at ilovedarwin.com.au ("Website", "Directory", "we", "us", "our"), operated by Global Genie Marketing & IT Services Pty Ltd (ABN 28 676 213 844) ("Global Genie", "Company"). By accessing or using the Website, browsing listings, submitting a claim request, or purchasing a featured/advertising placement, you ("User", "you", "Business", "Business Owner") agree to be bound by these Terms. If you do not agree, you must not use the Website.

1. About iLove Northern Territory

iLove Northern Territory is an independent, free-to-browse online business directory covering businesses operating in and around Darwin, Northern Territory. iLove Northern Territory does not provide, broker, arrange, recommend, or take responsibility for any goods, trades, or services offered by any business listed on the Website. We are a listings and information platform only. We are not an agent, partner, employee, franchisee, or representative of any listed business, and no listing implies any such relationship.

2. Nature of Listings — Source and Accuracy Disclaimer

2.1 Many listings on the Website have been compiled by Global Genie from publicly available sources, including but not limited to Google Search, Google Business Profiles, and other publicly accessible business information ("Sourced Listings"). Sourced Listings have not been submitted, reviewed, or approved by the business they describe.

2.2 Because Sourced Listings are compiled from third-party and publicly available data, we do not warrant or guarantee the accuracy, completeness, currency, or reliability of any information contained in a Sourced Listing, including but not limited to business names, addresses, phone numbers, trading hours, categories, descriptions, and images.

2.3 A default placeholder image is applied to Sourced Listings pending verification. This default image does not represent the actual premises, products, staff, or branding of the business and should not be relied upon as such.

2.4 Any business, or any member of the public, who identifies inaccurate information in a Sourced Listing may request a correction or removal by contacting us using the details in clause 17. We will act on legitimate requests within a reasonable time but give no guarantee as to when a correction will be made.

2.5 Users rely on any information on the Website, including Sourced Listings, entirely at their own risk. Before engaging any business found on the Website, you should independently verify that business's identity, licensing, credentials, pricing, and suitability for your needs.

3. Claiming and Verifying a Listing

3.1 A business that appears as a Sourced Listing may claim ownership of that listing by completing our verification process, which may include email verification, phone verification, or supporting documentation as we reasonably require to confirm the claimant is authorised to act for that business ("Verification").

3.2 Once a listing is successfully verified, the claiming business ("Verified Business") gains the ability to edit and control the content of that listing, including business description, contact details, trading hours, category, and images, subject to clause 4.

3.3 Upon claiming a listing, full responsibility for the accuracy, legality, and currency of that listing's content transfers to the Verified Business. Global Genie is not liable for any inaccuracy, omission, or error in a listing from the point that listing is claimed and edited by the Verified Business, and the Verified Business indemnifies Global Genie in accordance with clause 13.

3.4 We reserve the right to refuse, revoke, or suspend Verification at our sole discretion, including where we suspect fraudulent claims, impersonation, or a dispute over rightful ownership of a listing.

3.5 We are not obliged to verify the underlying truth of any information a Verified Business enters into their listing after claiming it, and publication of such content on the Website does not constitute endorsement by Global Genie.

4. Content and Conduct Standards

By submitting, editing, or maintaining any listing content, you warrant that the content:

(a) is accurate and not misleading or deceptive; (b) does not infringe any third party's intellectual property, privacy, or other legal rights; (c) does not contain unlawful, defamatory, obscene, threatening, or discriminatory material; (d) complies with all applicable Australian laws, including the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)); and (e) does not include content you are not authorised to publish (including images, logos, or trademarks belonging to others).

We reserve the right, but not the obligation, to review, edit, refuse, or remove any listing content at our sole discretion and without notice, including content that breaches these Terms.

5. Featured Listings, Advertising, and Fees

5.1 We may offer paid enhancements to listings, including featured placement, advertising space, priority ranking within categories, or other promotional features ("Paid Services"), for a subscription or one-off fee as advertised on the Website from time to time.

5.2 Paid Services do not constitute an endorsement, guarantee, or verification by Global Genie of the quality, reliability, or legitimacy of the promoted business.

5.3 Fees for Paid Services are payable in advance as specified at the time of purchase. Unless otherwise stated in a specific offer, fees are non-refundable, including in the case of early cancellation, except as required by the Australian Consumer Law.

5.4 We reserve the right to vary our fees and Paid Services offerings, and will provide reasonable notice of any price change affecting an active subscription before it renews.

5.5 We may suspend or remove any Paid Service placement if the underlying listing is found to breach clause 4, without any obligation to refund fees already paid for the affected period.

6. Removal and Opt-Out Requests

Any business owner who does not wish for their business to appear on the Website, including as a Sourced Listing, may request removal by contacting us via the details in clause 17. We will process legitimate removal requests within a reasonable time, subject to our right to first verify the identity and authority of the person making the request.

7. No Business Relationship / No Endorsement

Nothing on the Website constitutes a recommendation, referral, or endorsement of any listed business by Global Genie. We do not vet, inspect, license-check, or otherwise pre-qualify any business before it appears as a Sourced Listing, and paid or featured status does not change this.

8. Intellectual Property

8.1 The Website design, layout, software, branding, and original written content (excluding individual business listing content and third-party logos) are owned by or licensed to Global Genie and protected by Australian copyright and trade mark law.

8.2 By submitting content to a listing (including as a Verified Business), you grant Global Genie a non-exclusive, royalty-free, worldwide licence to host, display, reproduce, and adapt that content for the purpose of operating and promoting the Website.

9. Third-Party Links

The Website may contain links to third-party websites, including business websites and social media pages. We do not control and are not responsible for the content, availability, or practices of any linked third-party site.

10. Limitation of Liability

10.1 To the maximum extent permitted by law, Global Genie excludes all warranties, conditions, and representations, whether express or implied, in relation to the Website and its content, other than any consumer guarantees that cannot lawfully be excluded under the Australian Consumer Law.

10.2 To the maximum extent permitted by law, Global Genie will not be liable for any indirect, consequential, special, or incidental loss or damage, or for loss of profits, revenue, business, data, or goodwill, arising out of or in connection with the Website, any listing (including Sourced Listings), or any dealings between a User and a business found via the Website.

10.3 Where liability cannot lawfully be excluded, our liability is limited, at our option, to re-supplying the relevant service or paying the cost of having the relevant service re-supplied.

10.4 Global Genie is not a party to, and accepts no liability for, any transaction, contract, or dispute between a User and a business listed on the Website.

11. Indemnity

You agree to indemnify and hold harmless Global Genie, its directors, employees, and agents from and against any claim, loss, liability, damage, or expense (including reasonable legal costs) arising from your breach of these Terms, your misuse of the Website, or content you submit or edit on a listing.

12. Suspension and Termination

We may suspend or terminate your access to the Website, a Verified Business account, or any Paid Service at our discretion, with or without notice, where we reasonably believe these Terms have been breached, or where required to comply with law.

13. Changes to These Terms

We may update these Terms from time to time by posting the revised version on the Website. Continued use of the Website after changes are posted constitutes acceptance of the revised Terms. Material changes affecting active Paid Service subscribers will be notified by email where practicable.

14. Governing Law

These Terms are governed by the laws of the Northern Territory, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of the Northern Territory.

15. Severability

If any provision of these Terms is held invalid or unenforceable, that provision is severed, and the remainder of the Terms continues in full force.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Global Genie in relation to your use of the Website.
